Terms of Service

1. Acceptance of Terms

By accessing or using the HALO Pay websites, dashboards, APIs, and services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and Accounts

• You must be able to form a binding contract and, if registering on behalf of a business, be authorized to bind that business.
• You agree to provide accurate information, keep your credentials secure, and promptly update your information.
• You are responsible for all activities under your account.

3. SMS Terms

• By opting in, you may receive SMS messages related to account verification, one-time passcodes (OTPs), login and security alerts, and transactional account notifications.
• Message frequency varies.
• Message and data rates may apply.
• Reply STOP to cancel at any time.
• Reply HELP for help.
• SMS consent is not required to create an account or use HALO Pay.

4. Services and Integrations

HALO Pay provides payment tools and related merchant services, which may integrate with third-party platforms (e.g., Shopify). Features may change over time and may vary by merchant configuration.

5. Acceptable Use

• Do not use the Services for unlawful, harmful, fraudulent, infringing, or abusive purposes.
• Do not attempt to access non-public areas, circumvent security controls, or interfere with system integrity.
• Comply with all applicable laws, card network rules, and third-party platform policies.

6. Fees and Payments

Platform and processing fees (including any platform fee basis points) may apply as communicated during onboarding or in your merchant settings. Third-party processors (e.g., Stripe) may charge additional fees under their terms.

7. Third-Party Services

We use trusted providers (e.g., Stripe for payments, Twilio for communications) as necessary to deliver the Services. Your use of such providers may be subject to their separate terms, which you agree to comply with.

8. Intellectual Property

The Services, including content, software, and trademarks, are owned by CAB ARB Ventures LLC or its licensors and are protected by law. No rights are granted except as expressly stated.

9. Warranties and Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by law, CAB ARB Ventures LLC and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, even if advised of the possibility. Our aggregate liability arising out of or related to the Services will not exceed the amounts paid by you to us for the Services in the 3 months preceding the event giving rise to the claim.

11. Term and Termination

We may suspend or terminate access for any reason, including violations of these Terms, risk assessment, or legal/regulatory requirements. You may stop using the Services at any time.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles. Any disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction and venue. Where permitted by law, disputes will be resolved on an individual basis; class actions are not permitted.

13. Changes to Terms

We may update these Terms from time to time. The updated version will be indicated by the "Last updated" date above and is effective when posted. Continued use after changes constitutes acceptance.
